| ......however if those present voted against the consolidation,it would go to the vote and would be carried on Charles Bailey & mothers near 70% holding. The result of the consolidation will push Baileys holding to around 75%;I suspect the next move will be a vote to delist which needs 75%.There is only one other significant shareholder apart from Bailey;Peter Allen who even with support of all other non Bailey family shareholders could not block this move if it happened. I will be arranging my holdings to ensure it is split into individual under 5000 holdings so all are sold at £1.32 back to the company. I was aware of the very bad & totally deserved bad reputation this company has for poor corporate governance over many years when I bought these shares,Charles B's late father was a legend in his free lunch time.I have made a significant profit but I will be selling at far less than the true value of the shares but sometimes you have to admit defeat. | It would be interesting if the small shareholders turned up in numbers to the meeting since it needs approval of 75% of the people attending. Alternatively there is nothing stopping people buying back a small holding once the consolidated shares are again sub divided back to 5000. Personally I think I have had enough of this share. | While there can be a case for consolidation to remove very tiny shareholdings from the register the consolidation by Bailey is a total rip off and is designed to benefit Charles Bailey. The consolidation of 5000 existing shares into one indivdual share worth £6,600 each before splitting again is beyond belief.I will still be left on the register but as my holding is not exactly divisible by 5000 I would have to buy another 2000 to make it exactly divisible.I will pass the opportunity. The true NAV is around £3 a share;so while £1.32 is above my 80p average buying price it is not a fair reflection of value.There will probably be less than 100 shareholders left on the register after consolidation which hardly makes a viable listed company and I suspect the next move will be to delist. As for the comment by Bailey of only two non director shareholders turning up for the AGM;when did the Baileys ever take the slightest notice of anyones opinion.It is a pointless exercise....... | I did n't attend but the impression I have got is that there will not be a special divi until the full amount comes in.Charles Bailey controls the company and we are in his hands..........There is only one other large unconnected shareholder. Basically this is why the shares are at such a big discount to asset value in spite of the 50% increase in shareprice over this month and substantial increase this year from its 60p low point. | "We" have now got approx £11.7m net after tax & costs for the first half of the sale of Villa Rosa.There is no debt outstanding on Malta Property;but Bailey itself has borrowings of around £5m about £3.5m relates to the recently built Oyster Bay Hotel but paying all off still leaves around £6m cash and another £10m or so to come from the sale of the rest of the Malta Property. The market value is circa £12m now taking into yesterdays 50% rise for which you are getting £6m cash,plus another £10m to come Oyster Bay Hotel in Dar es Salaam,best in town and various other property.Beho Beho Safari Lodge with its private landing strip (US$800 per person per night!),a couple of lesser Safari Lodges,The remaining engineering business and extensive dockland property,some investments.Cheap but it is the "Bailey" factor........ | We have suddenly come alive for no obvious reason.Bailey has millions in undervalued property assets notably in Malta but also in Tanzania & S. Wales properties but nobody(including myself) has as yet benefited except the "late great" Charles & perhaps Son. By TX2 |
